Draft motion 1: Restore Director Elections and Open Nominations
Full draft text
I move that the Association establish and announce, within fourteen (14) days, a process to elect directors for all seats whose elected terms have expired or for which an election is otherwise required under the Bylaws. The Board shall first identify the authorized number of seats, each incumbent’s election or appointment date, the term applicable to each seat, and any vacancy appointments. The process shall provide written notice in accordance with the Bylaws, an open nomination period of at least ten (10) days, access to valid proxies or ballots as applicable, a neutral vote count, and written notice to members of the results. The election meeting should occur no later than December 15, 2026, subject to the required notice and quorum provisions.
What this would accomplish
Sets out a practical, fair timetable for owners to nominate and elect directors for every seat that requires an election.
Context
- Association counsel states that the last three annual meetings had no quorum and no election.
- This asks for a practical and fair pathway to elections; it does not claim current directors are necessarily illegitimate.
Source / basis
Bylaws election, notice and quorum provisions; Association counsel’s attributed statement on annual meetings.
